XDEYE SOFTWARE TERMS OF USE FOR CUSTOMER’S OWN SERVERS

By using XDEYE software on your own servers, you agree to the following terms and conditions:

Licensing and Registration:

If you wish to move your website to use XDEYE software on external servers, you must be licensed and registered as a federal corporation with a valid business number. Your corporation should appear in the public government corporation list, ensuring its legitimacy.

HST Number:

Your corporation must have a valid HST number issued by Canada Revenue.

Non-Disclosure Agreement (NDA):

Upon moving your website to external software, you must sign a non-disclosure agreement with XDEYE, agreeing not to disclose any programming secrets or proprietary information to other companies or competitors. The signing of the NDA must take place in the presence of the official company owner.

Verification of Ownership:

The company owner must provide two pieces of photo identification cards to prove ownership, along with the company’s license registration. This verification process is essential to ensure the legitimacy of the company.

Canadian Residence Address:

The company owner will be required to provide a valid Canadian residence address for correspondence and legal purposes.

Restricted Use of Programming:

The company agrees not to use the XDEYE software source code in any new projects without obtaining a new license from XDEYE Inc.

Restricted Usage for Agencies and Commercials:

XDEYE source code is intended for use by businesses and is not to be used by agencies or commercial entities other than XDEYE Inc.

Consequences of Non-Compliance:

If you fail to comply with any of the terms outlined above, the following actions may be taken by XDEYE:

• Website Content:
  XDEYE reserves the right to provide default website pages and posts, removing any custom source code or modifications that were made in violation of these terms.
• During the transfer process, XDEYE will not offer any assistance, bug fixes, or security support for the system.
• The client and the new server team will be solely responsible for the transfer and its associated tasks.

XDEYE Secure Transfer:

We offer a secure paid transfer service to all clients, which is available at a cost of $1500 and can be completed within 3 business days.

Responsibilities

If the client agrees to the terms and decides to move the system to an external server, XDEYE will not be held responsible for fixing any bugs or providing updates. However, XDEYE will be available to assist with paid service requests as needed.

Sales Opportunity:

We offer a comprehensive system, along with its source code, that can be used on multiple websites of your preference. With the purchase of a partner license, your administrators will receive assistance and training from XDEYE. It is vital to keep the copyright notice intact and unaltered while ensuring proper credit for the source code.

The pricing with upfront payment options is as follows:

• $5500: Use the system on up to 3 websites.
• $7500: Utilize the system on up to 5 websites.
• $50000: Enjoy unlimited website usage of the system.

Legal Action:

XDEYE may take legal action against your company for breach of contract and violation of the agreed-upon terms.

It is essential that you thoroughly read and understand these terms before moving your website to use XDEYE software on external servers. By proceeding with the installation and use of XDEYE software, you indicate your full acceptance and compliance with these terms of use.
