License Agreement

This License Agreement (“Agreement”) is entered into between XDEYE, referred to as “Licensor,” and the individual or entity that is acquiring the license to use the XDEYE System referred to as “Licensee.”

1. Grant of License

Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the XDEYE System (“Back End Software”) for one domain, as part of the hosting plan purchased by Licensee, subject to the terms and conditions of this Agreement.

2. Scope of License

(a) The license provided in this Agreement is limited to the use of the Software on one domain that is associated with the hosting plan purchased by the Licensee.

(b) Licensee acknowledges and agrees that they will not have access to the source code used to build the XDEYE System. The Software is provided as a compiled, ready-to-use solution, and Licensee shall not attempt to reverse engineer, modify, or decompile the Software.

3. Prohibited Actions

(a) Unauthorized Copy: The Licensee shall not make unauthorized copies of the Software or distribute it to any third party without prior written consent from the Licensor.

4. Legal Action

(a) In the event of unauthorized copying, distribution, or any other violation of this Agreement, the Licensor reserves the right to take legal action to protect its intellectual property rights. This may include seeking injunctive relief, damages, and any other remedies available under the applicable laws.

5. Hosting and Source Code Compatibility

(a) The XDEYE system must be utilized exclusively within our hosting environment, and its proprietary source code is not permitted for use on external hosting providers.

(b) Should the Licensee choose to migrate their website to a different hosting provider, they are solely responsible for maintaining backups of their data and content. Upon migration to an alternative hosting provider, the XDEYE System’s capabilities and functionalities will be restricted to the default WordPress system without access to the custom features offered by the XDEYE System.

6. Term and Termination

(a) This Agreement shall be valid for the duration of the hosting plan purchased by the Licensee.

(b) The Licensor reserves the right to terminate this Agreement immediately if the Licensee breaches any of the terms mentioned herein.

7. Governing Law and Jurisdiction

(a) This Agreement shall be governed by and construed in accordance with the laws of USA & Canada, without regard to its conflicts of laws principles.

(b) Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in all provinces of Canada.

8. Entire Agreement

(a) This Agreement constitutes the entire understanding and agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.

IN WITNESS WHEREOF, the parties hereto have executed this License Agreement as of the date first written above.

9. Source Code & XDEYE Systems

Our source code is an essential and confidential asset that has been specifically designed to be hosted exclusively on XDEYE Servers. As part of our commitment to safeguarding our intellectual property and maintaining a competitive advantage, we strictly prohibit any external access to the source code.

This restriction applies to all parties, including competitors within the same industry, as well as any other entities that may pose a risk to the security and confidentiality of our systems. We take great pride in the development of our Custom WordPress Website, Job Portal, Cars Dealer Portal, Client Relation Management (CRM) System, Education System, Donation System, Clinic and Dentistry System, and any upcoming systems that may be added to our portfolio.

Each of these systems is carefully crafted to address specific needs and provide optimal functionality and user experience. Our rigorous development process ensures that the source code remains proprietary and inaccessible to unauthorized individuals or organizations.

As a company, we understand the significance of safeguarding sensitive information, and our commitment to data privacy and protection extends to our source code. Upon purchasing our hosting plan, you have implicitly consented to abide by our license agreement.
